Events Policy

Definitions
“Event(s)” means any webinar, podcast, panel discussion, training session, conference, workshop, fireside chat, or other live or recorded virtual or in‑person program produced, hosted, or otherwise organised by NCC IQ, its affiliates, or designees. “Materials” means any presentation slides, hand‑outs, videos, audio files, articles, software code, or other content you deliver or submit in connection with an Event. “Recording” means any audio, video, photograph, transcript, or other capture of your likeness, voice, name, image, biographical information, and Materials.
Acceptance of Terms
By accepting an invitation to speak or by otherwise confirming participation—whether orally, in writing, or by clicking an electronic acceptance checkbox—you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
Speaker Eligibility & Responsibilities
Original Content – You represent that the Materials are your original work or that you have secured all necessary rights, licences, and permissions for any third‑party content incorporated therein.
Compliance – You will not include any content that is defamatory, obscene, harassing, discriminatory, infringing, or otherwise unlawful, and you will comply with all applicable laws and regulations.
Professional Conduct – You agree to abide by NCC IQ’s Code of Conduct and all Event policies relating to diversity, equity, inclusion, anti‑harassment, and safety.
Timely Delivery – You shall provide final Materials no later than the deadline communicated by NCC IQ and participate in technical rehearsals if requested.
Intellectual Property
Ownership – You retain ownership of your pre‑existing intellectual property in the Materials.
Licence to NCC IQ – You grant NCC IQ a perpetual, worldwide, royalty‑free, sublicensable licence to use, reproduce, edit, translate, adapt, publish, distribute, publicly perform, and display the Materials, alone or incorporated into other works, in any media now known or later developed, for Event‑related or other commercial or non‑commercial purposes.
Moral Rights Waiver – To the maximum extent permitted by law, you waive any moral rights (including the rights of attribution and integrity) that you may have in the Recordings or Materials.
Consent to Record
You irrevocably consent to NCC IQ (and its service providers) recording, live‑streaming, photographing, broadcasting, web‑casting, and otherwise capturing your participation and Materials during the Event, including any pre‑Event rehearsals and post‑Event interviews. This consent extends to simultaneous public transmission of the Event and to creation of transcripts or captions.
Use of Recordings & Materials
NCC IQ may, in its sole discretion, edit, excerpt, juxtapose, or otherwise modify the Recordings or Materials, combine them with other content, and use them (with or without your name, likeness, voice, and biographical information) in connection with: (a) Event promotion; (b) educational programmes; (c) internal training; (d) commercial advertising and sponsorship; (e) sale or licensing to third parties; and (f) archival or historical purposes. NCC IQ shall have no obligation to notify you of the uses or to pay any royalties or further compensation.
Distribution Rights
You authorise NCC IQ to distribute the Recordings and Materials globally, in perpetuity, via any channel or format, including but not limited to: public or private websites, learning‑management systems, streaming platforms, social‑media networks, television broadcasts, podcasts, downloadable files, physical media, and future distribution technologies. NCC IQ may monetise such distribution through paid subscriptions, advertising, sponsorships, or direct sales.
Compensation & Expenses
Unless otherwise agreed in writing, your participation is on a voluntary basis and you will not receive monetary compensation. If an honorarium or reimbursement of reasonable, pre‑approved expenses (such as travel or accommodation) is offered, such amounts will be specified in a separate written confirmation and may be subject to applicable tax reporting and withholding.
Confidentiality
NCC IQ may share non‑public information (e.g., attendee lists, run‑of‑show, production details) with you. You agree to keep such information confidential and to use it solely for your preparation and participation in the Event.
Data Protection & Privacy
You acknowledge that NCC IQ may process your personal data (e.g., name, contact details, biography) for Event organisation, promotion, and record‑keeping, in accordance with its Privacy Policy. Where required, NCC IQ may transfer such data internationally, relying on appropriate safeguards.
Cancellation, Rescheduling & Force Majeure
NCC IQ may cancel or reschedule the Event at any time for any reason. Where feasible, it will provide reasonable notice to you.
If you must cancel, you shall notify NCC IQ in writing promptly and cooperate in identifying a suitable replacement speaker if requested.
Neither party will be liable for delays or failures caused by circumstances beyond its reasonable control (e.g., natural disaster, pandemic, labour dispute, governmental order, or failure of utilities).
Indemnification
You agree to indemnify, defend, and hold harmless NCC IQ, its officers, employees, agents, affiliates, successors, and assigns from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of this Agreement; (b) your Materials or statements; or (c) your negligence or wilful misconduct.
Limitation of Liability
To the fullest extent permitted by law, NCC IQ will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages.
Term & Termination
This Agreement becomes effective upon your acceptance and remains in effect indefinitely with respect to NCC IQ’s rights in the Recordings and Materials. Sections 4–7, 9, 12–17 shall survive any termination or expiration.
Governing Law & Dispute Resolution
This Agreement is governed by and will be construed in accordance with the laws of Ireland (without regard to conflicts‑of‑law principles). Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Ireland, provided that NCC IQ may seek injunctive relief in any jurisdiction to protect its intellectual‑property rights.
Assignment
NCC IQ may assign or transfer this Agreement to any successor or affiliate. You may not assign this Agreement without NCC IQ’s prior written consent.
Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted to fulfil its intended purpose to the maximum extent permitted.
Waiver
No waiver of any breach of this Agreement shall be deemed a waiver of any subsequent breach. Any waiver must be in writing and signed by an authorised representative of the waiving party.
Electronic Acceptance
You agree that electronic acceptance (including email confirmation or selecting a checkbox) constitutes your signature and has the same force and effect as a physical signature.
Entire Agreement & Modifications
This Agreement represents the entire understanding between you and NCC IQ with respect to the subject matter and supersedes all prior or contemporaneous agreements. NCC IQ may update or modify this Agreement by providing notice to you; continuing to participate after notice constitutes acceptance of the modified terms.
Acknowledgement
By participating in the Event, you affirm that you have read this Agreement, fully understand its terms, and voluntarily accept and agree to them.
